Terms & Conditions

These terms govern the sale of hardware and the provision of implementation services by AtropaX Security. They apply unless we have signed a separate written agreement with you, in which case that agreement takes precedence.

1. Definitions

"We", "us", "our" means AtropaX Security. "You" means the person or organisation buying goods or services. "Goods" means hardware authentication devices and related items we supply. "Services" means deployment, integration, configuration, and advisory work we perform.

2. Quotations and orders

Quotations are valid for the period stated on them, or for 14 days if no period is stated. A quotation is an invitation to order, not a binding offer.

A contract is formed only when we confirm your order in writing. We may decline an order — for example where stock is unavailable, where pricing was stated in error, or where we cannot verify the buyer.

Product images and descriptions on our website are indicative. Manufacturers may revise specifications, packaging, or firmware without notice.

4. Delivery, title, and risk

Delivery dates are estimates given in good faith. They depend on manufacturer and distributor lead times, which we do not control. We are not liable for delay caused by circumstances beyond our reasonable control, but we will keep you informed and will not treat a delay as a reason to increase the agreed price.

Risk in the Goods passes to you on delivery. Title passes only when we have received payment in full.

Please inspect deliveries on arrival. Report shortages, visible damage, or incorrect items within 5 working days of receipt so we can resolve them with the carrier or supplier.

5. Warranty

Hardware we supply carries the manufacturer's own warranty. We are not the manufacturer, and we do not extend, enlarge, or substitute that warranty. We will, however, act on your behalf in handling a valid manufacturer warranty claim at no charge to you.

The warranty does not cover physical damage, misuse, unauthorised modification, normal wear, or loss of the device.

Important characteristic of hardware security keys. These devices are designed so that private key material cannot be extracted or recovered — that is the property that makes them resistant to phishing. It also means that a lost key cannot be recovered or cloned, by us or by the manufacturer. You are responsible for enrolling a backup key and for maintaining your own account recovery arrangements. We strongly recommend at least two keys per user, and we will advise on recovery design as part of any deployment.

6. Returns

Faulty or incorrectly supplied Goods will be replaced or refunded. Contact us first so we can issue return instructions; goods returned without prior arrangement may not be accepted.

For reasons of security and hygiene, correctly supplied cryptographic hardware cannot be returned once its tamper-evident packaging has been opened, unless it is faulty. Unopened items in original condition may be returned within 14 days of delivery by agreement; a restocking charge may apply.

Consumers, where applicable, retain their statutory rights under Azerbaijani consumer protection law. Nothing in these terms limits those rights.

7. Services

Where we provide deployment or integration services, the scope, deliverables, timeline, and fees are set out in the relevant quotation or statement of work.

Delivery of services depends on your cooperation. You agree to provide timely access to the systems, administrative permissions, information, and personnel reasonably required. Delays caused by lack of access may shift the timeline and, where they cause us material additional work, the fees.

Configuration recommendations are made on the basis of the information available to us at the time. You remain responsible for your own environment, for testing changes before applying them broadly, and for maintaining backups and break-glass administrative access.

Each party will keep the other's confidential information in confidence and use it only for the purpose of the engagement. This obligation survives completion.

8. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business or revenue, loss of anticipated savings, or loss or corruption of data.

Subject to the paragraph above, our total aggregate liability in connection with a contract is limited to the amount you paid us under that contract in the 12 months preceding the event giving rise to the claim.

We supply and configure security products; we do not insure against security incidents. Responsibility for your overall security posture, and for the operation of your systems, remains with you.

9. Export and lawful use

Cryptographic hardware may be subject to export controls and import restrictions. You confirm that you will comply with all applicable export, import, and sanctions laws, and that you will not resell or transfer Goods in breach of them.

10. Manufacturer relationships

Product names and trademarks referred to in our materials belong to their respective owners. AtropaX Security is an authorised Yubico reseller. Beyond that appointment, nothing in our materials should be read as a claim to be a partner, agent, or representative of any manufacturer unless we state so expressly and in writing.

11. Termination

Either party may terminate an ongoing services engagement on 30 days' written notice, or immediately if the other party commits a material breach that is not remedied within 14 days of written notice. On termination you will pay for work properly performed and for goods already supplied up to that date.

12. General

If any provision is found unenforceable, the remainder continues in force. A failure to enforce a right is not a waiver of it. These terms, together with the applicable quotation or statement of work, form the entire agreement between us.

We may revise these terms. The version in force is the one published on this page at the date your order is confirmed.

13. Governing law

These terms are governed by the laws of the Republic of Azerbaijan. The courts of the Republic of Azerbaijan have exclusive jurisdiction over any dispute, save that we may seek injunctive relief in any competent jurisdiction to protect our intellectual property or confidential information.

Before commencing proceedings, both parties agree to attempt in good faith to resolve the dispute through discussion.
